The Head of Corporate Governance reports to the Group General Counsel and oversees an effective overall Corporate Governance framework for the Group that reflects the FAB Group\'s status as the second largest bank in the MENA region.Specific accountabilities
Act as Secretary and trusted Corporate Governance advisor to the FAB Group Executive Committee and its Members; collate and distribute presentation materials, attend and provide minutes of meetings and maintain the administration of the monthly meetings;
Support the Board Secretary in providing online training materials covering emerging governance issues, supplemented by a presentation to the Board on a semi-annual basis; corporate governance support through the review of the Board Charter and development of board assessment tools.
Support the corporate secretaries and individuals responsible for corporate governance of each domestic and overseas subsidiary and branch to ensure that they have in place a governance framework that is consistent with the Group and is adapted to take account of local laws and regulatory requirements.
Oversight of the corporate governance framework for the international jurisdictions; using monitoring and testing processes and working closely with the board secretary or equivalent (in the case of international branches) to ensure that the international jurisdictions have a robust corporate governance framework. that complies with local laws and regulations and which is consistent with the Group corporate governance framework.
Create and maintain the Corporate Governance Framework. Oversee the approval, distribution and communication of the Framework internally (including though the international jurisdictions) and externally (through publication). Review and update in line with legal, regulatory business requirements.
Create and maintain the Group Corporate Governance Policy and will develop and maintain these policies.
Lead the assessment of the Group\'s management committees against best international practices in terms of processes, composition of members and quality control. Ensure that each Committee has a charter in place that accurately reflects the scope and responsibilities of the committee and that is reviewed on a bi-annual basis.
Oversee the Corporate Governance function\'s role as custodian and publisher of the Bank\'s policies and procedures.
Oversee the maintenance of a register of all Powers of Attorney (POAs) granted across the Group; Oversee the function\'s duties in regard to the preparation, approval and attestation of the Group POAs; oversight of the Delegation of Authority Framework;
Oversight of the Bank\'s Corporate Governance Reporting obligations, including the relevant section of the FAB Annual Report, CBUAE quarterly reporting on director shareholdings, sustainability reporting, website and all internal reporting obligations;
Develop training materials and deliver training sessions on Corporate Governance to stakeholders across the FAB Group, to promote awareness of Corporate Governance as a discipline.
Oversight of the Corporate Governance information and advisory function, developed to respond to requests for information and documentation from the business and various stakeholders across FAB Group, and occasionally to external third parties;
Develop the relationship with the Bank\'s regulators; meet with them to discuss corporate governance related developments including new regulations and standards.
Research and monitoring changes to the corporate governance landscape; assessing the impact on the FAB Group and advising the FAB Group\'s key stakeholders accordingly.
Oversee the CG function\'s support to the business in updating the records of FAB programmes (i.e. EMTN and Samurai) annually.
Oversee the CG function\'s monitoring and testing responsibilities relating to the oversight of management committees, international jurisdictions, corporate organizational and personnel changes, compliance at Group, subsidiary and branch level and any related corporate governance failures, constitutional documents and delegations of authority.
Qualifications
Bachelor\'s Degree or equivalent in Management, Banking or Finance, with more than 15 years\' experience, preferably with certification and or advanced courses in compliance and corporate governance.
At least 10 years of business experience in Corporate Governance, focusing on tasks related to Boards and executive level committees, including advisory and consultative work.
Fluent in English and/or Arabic and with sophisticated written and verbal skills.
Strong ethics and integrity and able to manage market and other highly sensitive information responsibly, maintaining absolute confidentiality.
Willingness to travel to FAB locations, as required
