Job Description

Job Purpose:Support execution of opportunities (including joint ventures, acquisitions, partnerships and greenfield projects) to build ADNOCs international downstream business and deliver on ADNOCs strategic ambition to become a top 5 global integrated petrochemicals company in line with the ADNOC Group 2030 Strategy and the Downstream Industry, Marketing & Trading Directorate strategy.Engage & work constructively with internal & external parties and stakeholders to achieve alignment throughout the engagement process with potential International Partners.Develop & Foster formal and informal networks within the local & international downstream industries with the objective of understanding & identifying specific opportunities for ADNOC, and proactively using the knowledge to bring value to the ADNOC Group.KEY ACCOUNTABILITIES:
  • Support mapping & monitoring of market & competitor trends to identify new opportunities including potential acquisition / joint venture targets.
  • Assess market dynamics (e.g., supply-demand balances, pricing) during review of potential investment opportunities.
  • Assess and frame originated opportunities (including those originated through external parties including investment banks, or other channels (e.g., G2G)) to develop fact-based recommendations on strategic fit and interest for ADNOC.
  • Support strategic assessments for inbound opportunities to identify fit with ADNOC priorities by providing fundamental data analysis.
  • Support opportunity pipeline monitoring based on progress of transactions, ADNOC strategic priorities and counterparty feedback.
  • Once opportunity matured into a transaction process, collaborate with Group Strategic Investments team (who are responsible for transaction execution) to deliver transactions through to signing of definitive documentation, closing and preparing.
  • Support senior team members in providing inputs to Group Strategic Investments and broader transaction execution team (e.g., financial advisors) on key shareholder agreement terms (e.g., governance, management appointment, reserve matters, etc.) and commercial inputs into both shareholder agreement and sale and purchase agreement (e.g., pricing and feedstock cost outlooks etc.).
  • Lead and/or support specific workstreams and/or areas of analysis throughout the transaction process from opportunity assessment through due diligence and into integration.
  • Support identification and assessment of potential value creation opportunities and synergies within transactions.
  • Conduct preliminary/indicative valuation using range of approaches (e.g., DCF, multiples, precedent transactions).
  • Provide inputs for RFP preparation and support evaluation for the selection of technical and commercial due diligence advisers.
  • Participate in due diligence efforts, supported by third-party consultants, to fully vet and review opportunities and recommend inputs into ADNOC valuation and transaction documentation.
  • Work with Group HSE, Sustainability and other functions to assess and diligence HSE and sustainability related elements of transactions (e.g., CO2 emissions) and ensure findings are reflected into ADNOC investment case.
  • Support preparation of presentation materials for presentation to ADNOC internal governance bodies including Core ELT, IPC and IC.
  • Support integration planning proposals and support post-closing integration plan implementation including potential value creation and synergies realization by implementing state of the art operating model, corporate excellence center, and policies harmonization among others.
  • Support preparations for negotiations with counterparties (e.g., analysis of trade-offs and options).
COMMUNICATIONS & WORKING RELATIONSHIPS:Internal:
  • Frequent work-related contact with EVP, SVP, VP, Manager, Sr. Specialists and peers on matters related to the Units operations, strategy, policies, administration, manpower, HSE and integrity and specific tasks.
  • Frequent contact with DM&T, Executive Office Directorate, Finance & Investment, Legal and Low Carbon Solutions & International Growth staff on assessment of opportunities, due diligence and technical discussions.
  • Regular contact with ADNOC Group Companies (e.g., Borouge, Fertiglobe) staff to discuss specific opportunities and market dynamics.
  • Occasional exposure to ADNOC Leadership including Core ELT, IPC, IC
External
  • Regular Contacts with staff of overseas and national shareholders, customers, suppliers and joint venture partners in discussions, negotiations and at Board meetings.
  • Regular contact with energy industry participants and stakeholders at various levels.
  • Regular contacts with ADNOC and Abu Dhabi subsidiaries/ventures and partners etc. and with technical collaborators, project and business consultants and outsourcing service providers.
  • Regular contact with consultants/suppliers on matters related to acquisition of services.
  • Occasional contact with Government organisations and entities such as Abu Dhabi Executive Council, Ministry of Energy, Department of Economic Development, Abu Dhabi Investment Authorities and Gulf Cooperation Council, etc.
QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:Minimum Qualification:
  • Bachelors Degree in Chemical Engineering, Economics, Finance, Business Administration or a related field. Masters Degree in Business Administration is preferable.
Minimum Experience & Knowledge & Skills
  • 8+ years of experience in Refining / Chemical industry or in Management Consulting, Investment Banking, Private Equity, or Equity Research with significant exposure to downstream oil & gas and/or chemicals.
  • Experience in analytical data-driven thinking, problem solving and decision-making
  • Experience in supporting preparation of presentations for senior management
  • Experience in working in international and cross-cultural environments
  • Experience in working on multiple projects with competing timelines and/or in a fast-paced environment
  • Experience in assessing investment opportunities including strategic fit, valuation and market context
  • Experience with commercial and/or technical due diligence
  • Experience in financial assessments and/or development of valuation
  • Exposure to multiple products and chemistries (especially C1, C2, C3 and C4 value chains) within the Chemical industry is an advantage
