Job Description

PIPECARE GROUP is seeking a highly skilled and experienced Paralegal to join our team in Middle East [UAE] .



Position summary:

The ideal candidate will have a strong background in commercial and corporate law, with specific experience in drafting and reviewing any kind of legal documents and commercial contracts. Other duties: corporate and commercial compliance of the members of the Group, support with preparation of legal documents, opinions and their timely filing, communication with third-party on legal matters.



Key Responsibilities & Authorities:

Contract Drafting and Negotiation:

• Draft, review, and negotiate a variety of commercial contracts, including MSAs, service agreements, vendor contracts, and NDAs.

Legal Expertise and Research:

• Legal writing skills and proficiency in legalese.
• Provide legal support and assist with contract management, including maintaining contract templates and ensuring compliance with legal standards.
• Conduct legal research and provide analysis on various contractual and commercial law issues and staying informed about relevant legal developments and industry standards.
• Provide professional, written and oral, legal advice to the executives and offices to reasonably complex legal and legal policy issues.

Contract Management and Compliance:

• Responsible for identifying and escalating system issues related to contract templates, e-signatures, contract management, and Customer Relations Management (CRM) solutions.
• Liaise with internal departments and external parties to ensure contract terms are understood and met.
• Monitor adherence to contract terms and conditions throughout the contract lifecycle.

Dispute Resolution and Documentation:

• Assist with dispute resolution related to commercial activities of the PIPECARE Companies in Eastern Hemisphere.
• Maintain organized and up-to-date files of all contracts and related documentation.



Other key responsibilities:

• Assume responsibility for ensuring that PIPECARE entities in Eastern Hemisphere conduct its business in compliance with applicable laws and regulations.
• Provide internal legal support on legal matters in accordance with PIPECARE Policies and procedures to ensure that PIPECARE activities are in line with the applicable laws.
• Work on legal matters such as drafting of new agreements, reviewing existing agreements, issue the necessary documents to meet the requirements of local laws.
• Assist HR on revising employment contracts to facilitate the recruitment or dismissed of employees and to insure its conformity to the applicable Labor Laws.
• Assist Finance, Sales and other departments in different legal matters. Provide professional, written and oral, legal advice to the executives, offices and management members.
• Contribution on establishment of legal guidelines for tenders and review all commercial contracts that company enters to ensure its interest are safe guarded.
• Formulate, provide, advise and / or review all contracts agreements within PIPECARE Group, as well as with third parties to ensure the companies' interests are fully protected.
• Maintain confidentiality regime and ensure IP protection of PIPECARE Group.
• Assist with routine regulatory filings for national and global affiliates where needed.
• Collect, analyze and research legal materials such as statutes, decisions, legal articles, codes and documents.
• Perform other general duties and functions as requested by direct supervisor and management.



Competency requirements:



• Relevant law qualification, i.e. Bachelor of law or holding Master's degree in law or international law.
• Ability to analyze legal documents.
• Minimum of 2,5 - 3 years of legal experience (preferably in the private company ).
• Understanding of Laws and regulations of the Middle East and other regions and countries of Eastern Hemisphere.
• Proven experience in drafting, reviewing, and negotiating Agreements, general terms and conditions, and other commercial contracts.
• Strong understanding of contractual and commercial law principles.
• May be required to be available for phone calls meetings as needed during working and non-working hours to align with global offices' schedules.
• Excellent written and verbal communication skills in English. Knowledge of Arabic language is desirable.
• High attention to detail and strong organizational skills.
• Ability to work independently and as part of a team in a fast-paced environment.
• Proficiency in Microsoft Office Suite and legal research tools.

• Knowledge of Arabic language is desirable.
