Job Description

The jobholder is responsible for overseeing and managing all Compliance and Business Ethics\' policies, frameworks, and matters related to the entire Borouge worldwide, while ensuring compliance with applicable laws, regulations, and corporate governance standards.This role includes; developing, implementing, and overseeing the corporate governance framework of Borouge; ensuring adherence to regulatory requirements, maintaining best practices in corporate governance, and fostering a culture of integrity and transparency.KEY ACCOUNTABILITIESJob Specific AccountabilitiesGovernance Framework Development
- Design comprehensive corporate governance policies to ensure compliance with global standards. This ensures Borouge meets legal and regulatory requirements across all jurisdictions.
- Implement governance procedures across all departments to maintain uniformity. This promotes consistency in governance practices.
- Review and update the governance framework periodically to reflect changes in regulations. This keeps the framework current and effective.
- Benchmark governance practices against industry standards to identify improvement areas. This helps Borouge maintain a competitive edge.
- Develop a governance manual for easy reference by stakeholders to ensure clarity. This provides a clear guide for governance-related activities.
- Stay abreast of global trends, developments, and best practices in corporate governance. This allows for continuous improvement of Borouge\'s governance practices.Business Ethics Management
- Develop Ethical Policies: Create and update a comprehensive code of ethics to ensure all employees understand and adhere to ethical standards.
- Implement Ethical Practices: Integrate ethical guidelines into business processes and decision-making to maintain integrity.
- Monitor Ethical Compliance: Establish mechanisms to track and report on ethical conduct across the organization to ensure adherence.
- Investigate Ethical Breaches: Conduct thorough investigations into reported ethical violations to address issues promptly and fairly.
- Promote Ethical Culture: Foster an organizational culture that prioritizes ethical behavior and decision-making to ensure a positive work environment.Governance, Risk, and Compliance (GRC)
- Establish Governance Framework: Develop and maintain a robust governance framework to ensure alignment with the company\'s overall governance standards.
- Implement GRC Policies: Design and enforce policies and procedures to manage technology resources effectively and securely.
- Monitor GRC Compliance: Conduct regular audits and assessments to ensure GRC systems comply with relevant regulations and standards.
- Manage GRC Risks: Identify and assess GRC-related risks, implement controls, and develop mitigation strategies to protect the company\'s digital assets.
- Oversee GRC Incident Response: Develop and manage an incident response plan to address and resolve IT security breaches promptly, ensuring minimal disruption to operations.Regulatory Compliance
- Monitor regulatory changes in all jurisdictions where Borouge operates to stay informed. This ensures compliance with applicable laws and regulations.
- Conduct compliance audits regularly to ensure adherence to regulations. This helps identify and address any compliance gaps.
- Prepare compliance reports for senior management to highlight key issues. This keeps management informed of compliance status.
- Collaborate with the legal team to address compliance gaps swiftly. This minimizes legal and regulatory risks.
- Train employees on regulatory requirements to ensure understanding and compliance. This fosters a culture of compliance within the company.Board Support
- Prepare and distribute board meeting agendas and materials to ensure members are informed. This facilitates effective decision-making.
- Record accurate meeting minutes and follow-up on action items to ensure accountability. This maintains a record of board decisions and actions.
- Facilitate effective communication between board members and management to ensure alignment. This enhances collaboration and strategic alignment.
- Organize board evaluations and development programs to enhance effectiveness. This improves the board\'s performance and governance.
- Manage board documentation and records to ensure accessibility and transparency. This supports good governance and stakeholder trust.Risk Management
- Identify governance-related risks through regular assessments to mitigate potential issues. This helps prevent governance failures.
- Develop risk management strategies aligned with governance policies to ensure cohesion. This integrates risk management with governance practices.
- Implement control measures to manage identified risks effectively. This reduces the likelihood of adverse governance events.
- Report on risk management activities to the board to keep them informed. This ensures the board is aware of risk management efforts.
- Collaborate with internal audit to verify the effectiveness of risk controls to ensure robustness. This confirms the integrity of governance risk management.Requirements: QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS
Minimum Qualification
- Bachelor\'s degree in Law, Business Administration, Finance, or a related field.
- Master\'s degree in Corporate Governance, Law, Business Administration, or a related discipline.or professional certification (e.g., ICSA, CCEP) is preferred.
- Fluency in English Language; written and oralMinimum Experience & Knowledge & Skills
- Minimum of 10 - 15 years of experience in corporate governance, legal, compliance, or a related field, preferably within the manufacturing or chemicals industry.
- Knowledge of industry-specific regulations, trends, and best practices relevant to the organization\'s operations.
- Understanding of corporate governance principles and regulatory requirements in an international context, with familiarity in the polymers or broader manufacturing industry being beneficial.
- Excellent organizational and project management skills to handle multiple tasks efficiently.
- Strong analytical and problem-solving abilities to identify and address issues effectively.
- Effective communication and interpersonal skills to interact with various stakeholders.
- Ability to work independently and as part of a team to achieve common goals.
- High level of integrity and ethical conduct in all business dealings.
- Meticulous in documentation and compliance processes to ensure accuracy and adherence to regulations.
- Proactive in identifying and addressing governance issues before they escalate.
- Works effectively with cross-functional teams and builds strong relationships with stakeholders.
- Experience in the manufacturing or chemicals industry, particularly in polymers, is highly preferred.
- Proven track record of managing governance programs and leading cross-functional teams.Professional CertificationsPreferred to be certified in any of the following:
- ICSA (Institute of Chartered Secretaries and Administrators): Highly regarded for expertise in governance.
- CCEP (Certified Compliance and Ethics Professional): Recognized certification for compliance professionals.
