Job Description

JOB PURPOSE:Ensure facilitation to develop and subsequent supervision Commercial Structure of TA\xe2\x80\x99ZIZ Chemical Zone for entire range of Park Services, including ECO and Support Services. Develop and manage commercial agreements between respective TA\xe2\x80\x99ZIZ JV entities and supplier parties for the supply and provisioning of Utilities, Logistics services, Infrastructure services, Land, other Services like Fire services, Crisis Management, Medical, Oil Spill, Easement, OSBL Security, to ensure that all such services are provided as per agreement terms and implemented in a reliable, efficient, and safe manner.KEY ACCOUNTABILITIES:Management of Commercial Agreements
  • Develop and own the commercial structure of ECO Services and Support Services of TA\xe2\x80\x99ZIZ Park, through robust risk identification, allocation and quantification serving best interest of TA\xe2\x80\x99ZIZ and yet attractive proposition for investment opportunities within TA\xe2\x80\x99ZIZ Chemical Park
  • Develop robust commercial road map for associated Park Mgt. Services scope to the tenants, through the Service Providers, inline with the integrated schedule of TA\xe2\x80\x99ZIZ Program
  • Develop and Advise on the preparation of Commercial Agreements as a technical expert with understanding of certain areas of law/legal terms and demonstrating strong negotiation skills.
  • Review Commercial Agreements to ensure compliance with established company procedures and practices in respect of technical, financial, risks and liabilities etc.
  • Liaise with all internal and external stakeholders to devise models for cost buildup and pricing structure for supply of services in alignment with all relevant stakeholders.
  • Provides guidance in identifying and rationalizing the technical, financial, and legal requirements during the development of all Commercial Agreements.
  • Ensure appropriate charging mechanism philosophy adopted for respective agreements considering all tenants\xe2\x80\x99 requirements, scale of tenants, provision for any discounts and subsidy, supply assurance, occupancy levels, assessed risks and liabilities etc.
  • Arrange sign-off of all commercial agreements with all respective parties in line with DOA.
  • Investigate, analyze information, conduct reviews, and ensure timely follow up with all parties and stakeholders for proper implementation of approved recommendations and course of actions pertaining to Commercial Agreements.
  • Ensure all stakeholders adhere to and understand contractual obligations, and determine when processes violate regulations, make recommendations of all factors affecting a business situation and conflicts.
  • Monitor and enforce the Systems for effective performance management and monitoring of all agreements including successful service delivery, clearing of monthly invoice payments etc.
  • Dispute resolutions on the commercial agreements, ensure liaison with Claims Management team to resolve the dispute appropriately.
  • Issue periodic status reports to Management during the development and/or amendments of Commercial Agreements highlighting areas requiring special attention and consideration.
  • Establish trusted working relations with all external and internal stakeholders for attaining organizational excellence.
  • Fully engage and support other commercial teams associated with TA\xe2\x80\x99ZIZ to ensure consistency and unified approach across value chain
Generic AccountabilitiesManagement
  • Plan and supervise the activities of the personnel and resources of the Department to achieve the ADNOC\xe2\x80\x99s objectives in an efficient and cost-conscious manner while ensuring implementation of approved operational plans for the Department in line with Function\xe2\x80\x99s objectives.
  • Develop the knowledge, competencies and innovative spirit in the Department and support the establishment of Personal Development Plans (PDP\xe2\x80\x99s), Succession Planning and Talent pipeline within the Department in coordination with the Human Capability Group to continuously develop employees with emphasis on UAE Nationals to meet Emiratization targets.
Budgets and Operational Plans
  • Compile and provide input for preparation of the Department budgets and regularly monitor expenditure against approved the Department budget levels.
  • Investigate, highlight, and reconcile any significant variances to ensure effective performance and cost control.
Policies, Systems, Processes & Procedures
  • Lead the implementation of approved Department policies, processes, systems, standards, procedures and internal controls in order to support execution of the Department work programs in line with Company and International standards.
Performance Management
  • Implement the Company Performance Management System for individuals within the Department in accordance with Company approved guidelines and continuously monitor the achievement of the Department KPIs related to the approved Annual Performance Management Contract and the Balanced Score Card.
Organisation Structure and Development
  • Review, develop and recommend the appropriate organisation structure for the Department that will best utilise human capital while proactively incorporating sustainability into the on-going work practices to meet the business objectives.
Innovation and Continuous Improvement
  • Encourage innovation, enhance employee motivation, and support initiatives for implementation of Change Management to continuously improve operations and services.
  • Propose improvements in internal processes against best practices in pursuit of greater efficiency in line with approved standards to define intelligent solutions for issues confronting the Department.
Health, Safety, Environment (HSE) and Sustainability
  • Support the institution of an HSE culture and ensure compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Department in line with international standards, best practices and ADNOC Code of Practices.
  • Ensure adequate HSE training and induction for all Department employees to meet HSE standards.
Management Information Systems (MIS) and Reports
  • Prepare all Department MIS and progress reports if applicable to provide accurate and timely reports and necessary information to Company Management to effectively manage the business.
Risk Management
  • Participate and proactively contribute to the designing, development and establishment of Company\xe2\x80\x99s integrated Risk Management Framework while identifying and assessing relevant domain risks and recommend planning, management, and control measures to mitigate identified risks within the Function.
  • Oversee compliance of Risk Management Guidelines that are relevant to the Function and ensure corporate business ethics and Company\xe2\x80\x99s Code of Conduct are communicated within the Department
COMMUNICATIONS & WORKING RELATIONSHIPS:Internal
  • Frequent discussions with peer Managers and all reporting staff and team members on matters related to the Unit\xe2\x80\x99s operations, strategy, policies, administration, manpower, HSE and integrity and specific tasks.
  • Frequent contact with staff within the Directorate, ADNOC Group Companies, TA\xe2\x80\x99ZIZ as required.
External
  • Regular Contacts with top management of overseas and national shareholders, customers, suppliers and joint venture partners in discussions, negotiations and at Board meetings.
  • Energy industry participants and stakeholders at various levels.
  • Regular contacts with ADNOC and Abu Dhabi subsidiaries/ventures and partners etc. including TA\xe2\x80\x99ZIZ and with technical collaborators, project and business consultants and outsourcing service providers.
  • Regular contact with consultants/suppliers on matters related to acquisition of services.
  • Occasional contact with Government organisations and entities such as Abu Dhabi Executive Council, Ministry of Energy, Department of Economic Development, Abu Dhabi Investment Authorities and Gulf Cooperation Council, etc.
QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS:Minimum Qualification
  • Bachelor\xe2\x80\x99s Degree in Engineering or equivalent.
Minimum Experience & Knowledge & Skills
  • 15 years\xe2\x80\x99 experience in Refining / Chemical industry with at least 6 years in a relevant managerial role.
  • Relevant working experience in establishing and managing commercial contracts and agreements related to hydrocarbon and services industries.
  • Conversant with commercial structures, clauses, terms & conditions, and all key elements required to frame and execute commercial agreements.
  • Exposure to multiple products and chemistries within the Chemical industry is an advantage
  • Experience in analytical data-driven thinking, problem solving and decision-making.
