Responsibilities:

• Provide legal advice and guidance on various aspects of commercial law, including joint ventures, real estate development, property management, investment transactions and commercial contracts.
• Draft, negotiate, and review a broad range of commercial agreements and other documents including but not limited to, sale and purchase agreements, service contracts, lease agreements, project development documents, property and asset management agreements and investment agreements.
• Provide ongoing advice to the team on general company law matters and all corporate law issues affecting day-to-day operations including corporate governance and compliance issues.
• Assist with transaction closings, including providing legal opinions, marking up and tracking drafts, coordinating with counter-party legal counsel, and preparing executable documents.
• Identify, monitor, and assist in managing risks, including maintaining close contact with authorities and industry organisations.
• Review and interpret the requirements of governmental agencies, laws, statutes, regulations, and court decisions; advise on new legislative and regulatory requirements and recommend changes to policies and processes, as appropriate.
• Assist with drafting and implementation of corporate governance policies, procedures, and programs.
• Coordinate and work with external advisors, other departments, and the organisations leadership to review and advise on the optimal organisational structuring, taking into consideration the group activities and tax implications.
• Lead the incorporation and registration of new entities, as needed.
• Maintain records of all incorporated entities and ensure all recurring licenses, powers of attorney, certificates of good standing, etc. are continuously updated and valid.
• Oversee the organization and management of board meetings.
• Ensure the companys compliance with applicable regulations, including anti-money laundering rules, licensing requirements and data protection.
• Manage commercial disputes and negotiations, including mediation, arbitration, and litigation proceedings.
• Where required, coordinate and supervise external legal counsel.
• Coordinate with external legal advisors and fund administrators to lead the formation, registration, and maintenance of the investment vehicles/fund entities, including offshore and onshore entities, ensuring all authority requirements are satisfied.
• Provide legal counsel on all aspects of investment vehicle/fund formation and ongoing operations, including but not limited to structuring, securities laws, jurisdictional planning, fund strategy, and other related legal matters.
• Remain up to date and anticipate changes in laws and regulations that would impact the organisations investment entity structures.

Requirements:

• Strong academic credentials including a law degree from a reputable university and/or law school is required.
• Preferably US qualified or otherwise Commonwealth qualified (Canada, Australia, New Zealand, South Africa or UK).
• 8+ years of legal experience (with at least two years in-house) as a corporate commercial lawyer, preferably with some portion of that experience in project development, commercial transactions or real estate investment funds.
• Strong track record in corporate commercial matters. Preference will be given to candidates with experience in project development and private investment funds, with exposure to real estate investments as an asset class.
• Knowledge and experience of UAE laws and regulations.
• Fluent in English. Arabic would be an advantage but not mandatory.
