Role Summary / PurposeThe Legal Counsel and Contracts Manager will be responsible for corporate legal administration, compliance control, and third-party contract support across all TGT worldwide. As well as providing expert legal counsel when needed by management.Essential ResponsibilitiesAct as the company formal legal counsel with all formal authorities and third partiesManage existing Contracts/Legal staff in the organisationManage outside counsels and act as a key negotiator for strategic transactionsAnalyse and identify the legal risks of all business transactions to find remedies, keeping the senior management in all departments of the business informed of developments in laws and regulations that potentially affect the businessReview incoming requests for tenders and identify legal issuesReview major account agreements, existing contract amendments, consulting agreements, special licensing, and non-disclosure agreements to ensure compliance with regulatory guidelinesDrive contract lifecycle from drafting through completion and/or contract execution, including managing other legal resourcesAssist in internal governance policies and regularly monitor complianceResearch and evaluate risk factors regarding legal and contractual decisions and operationsApply effective risk management techniques and offer proactive advice on possible legal issues;Draft and solidify agreements, contracts, and other legal documents to ensure the companyxe2x80x99s full legal rightsProvide clarification on legal language or specifications as neededManage contract change control process and related correspondence requiring legal inputMaintain a deep understanding of contract templates, contracts policy, legal risk and liability, and company position on various matters to ensure alignment with the companyxe2x80x99s goals and industry guidelinesMaintaining, updating and improving contractual recordsPrepare contracts for internal review and approval, as well as ensure compliance with company policies as well as applicable laws or regulationsInterpret contracts and advise Business Unit Managers and Department Managers on contractual responsibilitiesTranslate complex commercial/legal scenarios into simple language and action plansAssist in the development and maintenance of company policiesMaintain Intellectual Property patents and coordinate with external IP agencies to ensure timely update and registration of existing and new patents.Qualifications / RequirementsLegal/Law DegreeLPC Qualification is essentialA paralegal certificate is beneficial7-10 years experience in Contracts Management within the Oil & Gas industryConsiderable experience in negotiating and legal/contracts experience, including post-contract issue managementDemonstrable ability to consolidate operational and commercial feedback for incorporation into contractsProven experience in providing contract reviews and analysis to the business in relation to general contractual matters, including potential or actual disputesExpertise in critical areas of compliance, including anti-bribery and corruption, FCPA, third-party management, training and awareness campaigns and executive engagementExpertise in commercial & corporate matters, M&A, and intellectual property in relation to Oil and GasFluent English speakerNative Arabic speakerThis job has been sourced from an external job board.
