About Our Client
Global logistics subsidiary of world- leading trading company.
Responsible for all corporate secretary matter in EMEA region;
Review current legal and corporate practices, processes, tasks and tools with the purpose of optimizing and modifying them to match company business and growth;
Managing board and committees\' agendas, taking minutes and follow up actions;
Taking care of the litigation lists, litigation and claims matters including re-doing the formatting and reporting style, liaising/following up regularly with external lawyers and internal stakeholders on developments, negotiating and drafting settlements;
Managing all external KYC requests from banks, regulatory bodies, etc.;
Managing and support to corporate projects and transactions as and when they arise;
Drafting, reviewing, coordinating and managing the timely and accurate execution of legal and corporate documents (e.g. resolutions, board minutes, powers of attorney, proxies, share transfers, inter company loan agreements, guarantees and services agreements) to ensure that the companies fulfil their legal and statutory obligations in the relevant jurisdiction.
Liaising with and supporting internal group functions (including legal, tax, finance, treasury) as well as external suppliers, professional advisors (audit and legal) and company agents.
Maintain central repository of shared documents for all actors within the company
Maintain company organisation chart and main documents (directors, shares, AoA, SHA, JV)
Assist in organization and restructuring Impala group entities including company closures, incorporations, mergers and transfers, capital increase, change of director, etc.
Follow up main legislative changes potentially affecting activities of Impala and affiliates
Maintaining regular communications with board members of all companies, affiliates\' members, etc. as needed
Assist on other legal matters such as IP matters, establishment of contract management system, as needed
Participate in the organization of the Legal team (record keeping, filing of contracts and documents, reporting requirements, follow up of documents/invoices/etc.)
The Successful Applicant
JD and LLM from a recognised university
At least five years of legal experience in the logistics industry
Previous experience in a reputable law firm preferred but not required.
Excellent oral and written communication skills
Organised with high level of attention to detail and ability to meet tight deadlines
