:Our client, a large manufacturing company, is looking for a Company Secretarial and Compliance Associate to be based in Abu Dhabi, UAE. In this role, the candidate will be responsible support the General Counsel primarily and provide additional support to team members, as directed, to ensure that company goals and objectives are accomplished and that operations run efficiently. Manage communication with staff and senior management, by liaising with internal and external executives on various projects and tasks. Plan and orchestrate work to ensure that the Departments priorities are met, organizational goals are achieved, and best practices are upheld. Be the primary point of contact with external regulators. Other responsibilities would include but not limited to:
Manage professional and personal scheduling for General Counsel, including agendas, email, phone calls, and other company logistics.
Coordinate complex scheduling and calendar management, as well as content and flow of information to senior executives.
Provide administrative and office support, such as Arabic/English translation (to a high professional standard) and maintenance of filing system and contacts database.
Maintain professionalism and strict confidentiality with all materials.
Support the Company Secretary in ensuring corporate compliance across the company.
Provide support on a range of subjects including reviewing and executing company documents, forms, applications, resolutions and ancillary documents, in accordance with local formalities.
Manage the relationship with external regulators, in particular, the Abu Dhabi Securities Exchange (ADX), and the Securities and Commodities Authority (SCA).
Work closely with other members of the team to:
Ensure statutory obligations are met in a timely manner.
Facilitate corporate approvals with due process.
Ensure accuracy of company records.
Manage and maintain corporate registers for powers of attorney, parent company guarantees, authorized signatories, authorized representatives, charges etc.
Assist the Compliance Manager in the management of compliance policies and procedures.
Assist with regulatory filings and compliance documentation.
RequirementsTo be considered, you need to meet the following requirements:
A Chartered Secretary, a Graduate or Associate of the Chartered Governance Institute, with a minimum of 2 years PQE or 6+ years extensive experience in an administrative role reporting directly to upper management.
Good knowledge of statutory obligations required by the ADX and SCA.
Understanding of the regulatory onboarding process.
Flexible team player, willing to adapt to changes and unafraid of challenges.
Good organization and IT skills.
Any legal experience a benefit.
Experience of managing senior executives, their offices and processes.
Attention to detail and analytical and communication skills.
Familiar with using Board portals and Compliance software.
