The Governance Specialist is responsible for supporting the development, implementation, and maintenance of corporate governance frameworks, policies, and procedures to ensure compliance with regulatory requirements and best practices. The role involves coordinating governance-related activities, conducting assessments, and providing advisory support to various stakeholders within the organization to promote ethical and effective decision-making processes.
Key Activities, Responsibility & Accountability
1. Governance Framework and Policies
Develop, review, and maintain governance policies, procedures, and standards.
Ensure alignment of governance frameworks with relevant laws, regulations, and industry best practices.
Conduct periodic assessments to identify gaps or areas for improvement in governance processes.
2. Board and Committee Support
Coordinate the preparation of Board and committee meetings, including scheduling, agenda preparation, and documentation.
Ensure the accurate and timely distribution of meeting materials.
Maintain records of Board and committee decisions, resolutions, and actions.
3. Regulatory Compliance
Monitor regulatory changes and assess their impact on governance practices.
Support compliance with corporate governance regulations and reporting requirements.
Assist in drafting and filing governance-related reports, disclosures, and other submissions.
4. Risk Management and Ethics
Collaborate with risk management teams to ensure governance processes address key risks.
Promote ethical practices within the organization by supporting training and awareness initiatives.
Investigate governance-related breaches or incidents and recommend corrective actions.
5. Stakeholder Engagement
Act as a liaison between the organization and external regulatory bodies, auditors, and other stakeholders.
Provide advisory support and guidance to business units on governance-related matters.
Support cross-functional projects related to governance and compliance.
6. Performance Monitoring and Reporting
Develop and maintain key governance metrics to measure effectiveness.
Prepare reports on governance activities, trends, and compliance status for management review.
Identify areas for improvement and recommend solutions to enhance governance processes.
7. Training and Development
Design and deliver governance-related training programs for employees and leadership.
Foster a culture of governance and accountability through continuous education and communication.

Professional Certifications
Qualifications Bachelor's degree in Law, Business Administration, Corporate Governance, or a related field.
A master's degree or professional certification (e.g., ICSA, CIPD, CCEP) is highly desirable.
Experience Minimum of 5-7 years of experience in corporate governance, compliance, legal, or risk management roles.
Proven experience in supporting Board or committee activities.
