We are looking for an experienced in-house Legal Counsel who has solid corporate and commercial experience to join a well regarded business based in Abu Dhabi. You must be an Arabic speaker and have experience of establishing companies in ADGM as this role will be heavily on the corporate/corporate governance side.Key Responsibilities:Commercial Contracts:

• Draft, review, and negotiate a wide range of commercial agreements, including but not limited to, supply agreements, distribution agreements, service agreements, and licensing agreements.
• Provide legal guidance on contract interpretation, risk assessment, and dispute resolution strategies.

Joint Ventures:

• Structure, negotiate, and execute joint venture agreements and strategic partnerships.
• Advise on legal aspects of joint venture formation, governance, and dissolution.

Corporate Governance:

• Develop, implement, and enforce corporate governance policies and procedures to ensure compliance with ADGM regulations and international best practices.
• Provide counsel to senior management and board members on corporate governance matters, including director duties, shareholder rights, and corporate disclosures.

Board Resolutions:

• Draft, review, and facilitate board resolutions, minutes, and corporate governance documentation.
• Ensure that board actions comply with legal requirements and corporate governance principles.

Establishing Companies in ADGM:

• Oversee the process of establishing new companies within the ADGM jurisdiction, including drafting incorporation documents, shareholder agreements, and memoranda of association.
• Coordinate with external advisors and regulatory authorities to obtain necessary approvals and licenses.

Legal Compliance:

• Stay updated on ADGM regulations, as well as legal developments in other relevant jurisdictions.
• Conduct legal research and analysis to assess compliance risks and implement appropriate mitigation strategies.

Cross-Jurisdictional Expertise:

• Utilize expertise in ADGM regulations and familiarity with other jurisdictions to advise on cross-border transactions, international corporate structures, and legal implications of business expansion.
