Job Summary
The Compliance Officer is responsible for overseeing all legal and compliance matters across diverse jurisdictions to ensure alignment with regulatory requirements and business objectives. This role encompasses managing investment compliance, corporate structuring, legal drafting, intellectual property management, and ensuring adherence to multi-jurisdictional regulations. The position demands exceptional legal expertise, strategic vision, and the ability to manage complex responsibilities across international operations.
Key ResponsibilitiesI. Investment Compliance
• Review bank documentation related to investment and holding companies.
• Negotiate terms and conditions with overseas banks on behalf of the Investment Team.
• Vet and review facility agreements and other investment-related documents.
• Liaise with banks' legal departments for KYC compliance and legal documentation.
• Coordinate with external legal counsel to resolve disputes with banks or invested companies.
• Assist in executing shareholder agreements and forming private trusts in Jersey and Guernsey for UBOs and PTE companies.
• Liaise with trustees for KYC compliance and trust-related matters.
• Review and vet agreements for the Investment Team and undertake additional related activities.
II. Group Legal & Compliance
• Maintain records of group companies' shareholding and ensure timely renewal or amendment of documents in jurisdictions such as BVI and UAE.
• Restructure the group's legal framework, analyzing business and fund transaction flows.
• Ensure compliance with regulatory requirements, including ESR, CBCR, and UBO reporting in jurisdictions like UAE, BVI, and Seychelles.
• File UBO declarations and ESR returns on schedule.
• Manage documentation for shareholding changes, company closures, and liquidations.
• Establish new entities in required jurisdictions for operational or investment purposes.
• Maintain tax residency and compliance records for shareholders and employees.
• Ensure proper documentation for group-owned immovable properties.
• Monitor regulatory changes to maintain compliance across all operational jurisdictions.
• Oversee acquisitions of shares for group or third-party companies.
• Handle adverse news and media-related matters involving UBOs.
• Coordinate vendor and supplier compliance across Angola, Congo, China, India, Namibia, and UAE.
• Guide regional teams on compliance protocols and processes.
III. Legal Drafting & Advisory
• Draft agreements, MOUs, sale and purchase agreements, SPAs, POAs, and other legal documents.
• Draft and review employment contracts for employees and handle visa processing and renewals.
• Liaise with advocates for mergers, acquisitions, and legal disputes.
• Ensure documentation for legal cases involving suppliers, tenants, or third parties is compliant with regulations.
• Draft and maintain loan agreements for inter-company loans.
• Maintain a compliance checklist for all entities and ensure regular updates.
IV. Trademark Management
• Manage trademark registration and transfer processes.
• Collaborate with legal teams across regions (e.g., India, China, Angola, Congo) for trademark-related matters.
V. Group Health Insurance
• Evaluate and finalize health insurance policies for employees.
• Compare insurance quotes and ensure KYC compliance for policy issuance.
• Monitor claim settlements and policy renewals.
VI. Miscellaneous Responsibilities
• Visit free zones for restructuring of trading companies.
• Handle compliance and legal work for third-party entities.
• Stay informed on corporate tax, ESR, and transfer pricing regulations through seminars and webinars.
Qualifications
• Education: Bachelor's degree in Law or a related field; advanced legal qualifications preferred.
• Experience: 7+ years in legal and compliance roles across multiple jurisdictions.
• Skills:
• Strong legal drafting and negotiation expertise.
• In-depth knowledge of compliance frameworks and international regulations.
• Excellent organizational and project management abilities.
