Job Overview
We are seeking a strategic and results-oriented Chief Financial Officer (CFO) with proven experience in leading Initial Public Offerings (IPOs) to join our executive team. The CFO will play a pivotal role in preparing and guiding the company through the IPO process, ensuring financial stability, regulatory compliance, and strategic financial planning. The ideal candidate will have extensive experience in public company financial management, investor relations, and capital markets.
Key Responsibilities
IPO Strategy and Execution :
• Develop and lead the company's IPO roadmap, coordinating with stakeholders, legal, compliance, and advisory teams.
• Oversee the preparation of financial statements, disclosures, and all regulatory filings in accordance with SEC/IPO regulations.
• Manage relationships with underwriters, investment banks, legal counsel, and other advisors to ensure a smooth IPO process.
• Provide strategic insights and present the company's financial performance and potential to investors and analysts.
Financial Leadership and Planning :
• Lead all aspects of financial planning, analysis, and forecasting, ensuring alignment with the company's growth objectives.
• Oversee the preparation of quarterly and annual financial reports, aligning with public company standards.
• Develop a robust risk management framework, ensuring compliance with internal controls, GAAP, and other regulatory standards.
• Collaborate with executive leadership on financial strategies to optimize company valuation and manage the capital structure.
• Investor Relations :
• Build and maintain relationships with institutional investors, analysts, and other key financial stakeholders.
• Prepare and deliver financial presentations, earnings calls, and investor communications, articulating the company's financial health and strategic vision.
• Develop a long-term investor relations strategy, ensuring consistent messaging and transparency.
Corporate Governance and Compliance :
• Ensure full compliance with all financial reporting, tax, and regulatory requirements post-IPO.
• Establish and maintain corporate governance practices in line with public company standards.
• Develop, implement, and enhance internal financial policies and controls to mitigate risk and ensure accuracy and integrity of financial information.
Team Leadership and Development :
• Lead, mentor, and develop the finance and accounting teams, fostering a high-performance culture focused on operational excellence.
• Build capabilities within the finance department to support ongoing compliance, reporting, and transparency requirements as a public company.
• Establish and promote a culture of accountability and efficiency across all financial functions.
Qualifications
• Bachelor's degree in Finance, Accounting, Economics, or a related field; an MBA or CPA designation is highly preferred.
• Minimum of 15+ years of progressive financial leadership experience, with at least 5 years in a public company or IPO setting.
• Proven track record of successfully leading an IPO or similar capital markets transaction.
Additional Requirements
• IPO Readiness and Compliance : Demonstrated knowledge of the IPO readiness process, including governance, compliance, and financial reporting.
• Relationship Management : Proven experience in managing relationships with investment banks, auditors, legal advisors, and institutional investors.
• Strategic Vision : Ability to align financial strategy with business growth objectives and maximize shareholder value.
