:Robert Half are working with a leading Real Estate business looking to enhance their teams.The RoleThe Board Secretary is responsible for the efficient management of the Board of Directors\' activities and ensuring compliance with regulatory requirements set by the Securities and Commodities Authority (SCA) and the Company\'s Corporate Governance Manual.Governance and Compliance
Ensure adherence to SCA regulations, corporate governance standards and other relevant regulatory and legal requirements
Prepare and submit required documentation and reports to regulatory authorities in a timely manner.
Support to Board members
Provide advice on legal and regulatory obligations to board members.
Provide support and guidance to board members on governance matters.
Support the Chairman of the board and Nomination and Remuneration Committee with the annual performance evaluation of the board.
Communication & Coordination
Act as the primary point of contact between the board, Executive Management and stakeholders.
Handle correspondence and other administrative tasks related to board matters.
Assist in organizing and scheduling General Assembly Meetings.
Board Meeting Management
Schedule and coordinate board and committees\' meetings.
Prepare and circulate the approved meeting agenda, meeting pack and any relevant material to board members.
Attend board and committee meetings, take accurate and detailed minutes in accordance with the guidelines set out in the Corporate Governance Manual and ensure timely distribution of minutes and action items.
Document Management
Maintain a comprehensive and organized filing system for relevant documents.
Archive documents in line with the Company\'s corporate archiving policy.
Ensure secure and confidential handling of sensitive and confidential information.
The Candidate
In-depth knowledge of corporate governance principles, SCA
Exposure in Publicly Listed companies in the UAE
Good communication skills in Arabic and English languages
5-7 years experience
