Job Description

The jobholder is responsible for overseeing and managing all legal affairs and matters related to the Borouge\'s PLC while ensuring compliance with applicable laws, regulations, and corporate governance standards.This role includes; managing the Legal Advisory, Regulatory Compliance & Risk Assessment, Contract Review & Negotiation, Legal Research & Analysis, and Dispute Resolution & Litigation ManagementKEY ACCOUNTABILITIESJob Specific AccountabilitiesLegal Advisory
- Provide expert legal advice and guidance to senior management and business units on a wide range of legal issues, to ensure compliance with laws and regulations and protect the company\'s interests.
- Collaborate with cross-functional teams to address legal issues and support business objectives, to facilitate effective decision-making and achieve company goals.
- Advise senior management and business units on legal risks and recommend risk mitigation strategies, to minimize potential legal exposure and protect the company\'s interests.
- Provide clear and concise legal opinions, memoranda, and recommendations, to support informed decision-making by senior management.
- Assist with the preparation and filing of corporate governance documents, to ensure compliance with legal requirements and best practices.
- Provide guidance on corporate governance matters, to promote effective board governance, uphold directors\' duties, and protect shareholder rights.Regulatory Compliance & Risk Assessment
- Conduct comprehensive legal risk assessments to identify and evaluate potential legal risks and liabilities associated with business activities, contracts, and regulatory compliance, to protect the company\'s interests. 1
- Advise senior management and business units on legal risks and recommend risk mitigation strategies, to minimize potential legal exposure and protect the company\'s interests. 1
- Monitor changes in laws, regulations, and industry standards relevant to the company\'s operations and advise management on compliance requirements, to ensure adherence to legal and regulatory requirements. 2
- Develop and implement compliance policies, procedures, and training programs, to promote a culture of integrity and ethical conduct within the organization. 3
- Ensure compliance with professional standards, legal ethics rules, and company policies governing attorney-client privilege and confidentiality, to uphold the company\'s reputation and protect its interests. 4
- Maintain accurate and up-to-date legal records, documentation, and corporate governance filings, to ensure compliance with legal and regulatory requirements.Contract Review & Negotiation
- Review, draft, and negotiate contracts and agreements, to ensure that they comply with applicable laws and regulations and reflect the company\'s legal and commercial interests.
- Represent the company in negotiations, meetings, and communications with external parties, to protect the company\'s interests and achieve its business objectives.
- Monitor and ensure compliance with applicable laws, regulations, and industry standards, to minimize legal risks and liabilities.
- Conduct legal due diligence for mergers, acquisitions, and other transactions, to identify and evaluate potential legal risks and liabilities.
- Maintain accurate and up-to-date legal records and documentation, to ensure compliance with legal and regulatory requirements.Legal Research & Analysis
- Conduct legal research and analysis on complex legal issues and provide clear, practical recommendations to support informed decision-making by senior management, to ensure that the company\'s actions are legally sound and in its best interests.
- Conduct comprehensive legal risk assessments to identify and evaluate potential legal risks and liabilities associated with business activities, contracts, and regulatory compliance, to protect the company\'s interests and minimize potential legal exposure.
- Conduct legal research and analysis on complex legal issues, statutes, regulations, and case law relevant to the company\'s business activities, to ensure that the company is aware of and in compliance with all relevant legal requirements.
- Represent the company in external forums, meetings, and negotiations to advocate for the company\'s interests and address legal and regulatory concerns, to protect the company\'s interests and achieve its business objectives.
- Provide clear and concise legal opinions, memoranda, and recommendations to support informed decision-making by senior management, to ensure that the company\'s actions are legally sound and in its best interests.Dispute Resolution & Litigation Management
- Manage disputes, claims, and litigation matters involving the company, to oversee external legal counsel, prepare legal pleadings and briefs, and represent the company in negotiations and settlement discussions.
- Manage external legal counsel and advisors, to oversee litigation matters, regulatory inquiries, and other legal proceedings involving the company.
- Develop and implement strategies to minimize legal exposure and resolve disputes efficiently and cost-effectively, to protect the company\'s interests.
- Build and maintain relationships with external legal advisors, regulators, government agencies, industry associations, and other stakeholders, to foster collaboration and communication.
- Coordinate with external counsel and represent the organization in negotiations, mediations, and court proceedings, to protect the company\'s interests.

Minimum Qualification
- Bachelor\'s degree in Law from an accredited institution; advanced degree (e.g., JD, LL.M.) preferred.

- Specialist expertise in a wide area of law and commercial practices, including,
- Contract and Commercial Law of the UAE and wider middle eastern region.

- Minimum of 12 - 15 years of total experience in Legal-related occupations.
- Several years of relevant legal experience, typically in law firms, corporate legal departments, or government agencies.
- Minimum of 8 years of experience practicing law, preferably with a combination of law firm and in-house legal department experience.
- Minimum of 6 years of experience in Legal for large scale organization.
- Experience in specific areas of law relevant to the organization\'s industry and operations, such as corporate law, commercial contracts, regulatory compliance, or litigation management.
- Experience in a managerial or leadership role, overseeing legal teams, projects, or functions, is often preferred.
- Proven track record of providing strategic legal advice and counsel to multinational corporations, preferably in a regulated industry.
- Strong understanding of corporate law, commercial contracts, regulatory compliance, and corporate governance principles.
- Excellent analytical, problem-solving, and decision-making skills, with the ability to assess legal risks and develop practical solutions.
- Effective communication and interpersonal skills, with the ability to influence and collaborate with stakeholders at all levels of the organization.
- High level of integrity, professionalism, and confidentiality, with a commitment to upholding ethical standards and promoting a culture of compliance and accountability.
- Experience in EPC contracting and contracting for large projects desired.
- Ability to influence key decision maker within and outside the Company.
- Ability to prioritize tasks and focus on high-risk areas.
- Ability to work independently in the drafting, reviewing, and negotiating of transactional documents on a broad range of routine to complex transactions.
